These Terms & Conditions ("Terms") govern your access to and use of DiscoverCDMX and any related services (the "Service"), operated by Otiummedia.com ("Otium Media", "we", "us"). By accessing or using the Service you agree to be bound by these Terms.

1. Who you are contracting with

Your agreement is with Otiummedia.com, trading as DiscoverCDMX. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

DiscoverCDMX is an editorial and data service covering hospitality venues, guides, and AI visibility for Mexico City. Paid tiers provide venues and hospitality brands with verified listings, editorial consideration, and related services as described on our site.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or abusive purpose;
  • Infringe any intellectual property, privacy, or other rights;
  • Interfere with or compromise the security or integrity of the Service, including by introducing malware, probing for vulnerabilities, or scraping content at scale;
  • Submit false, misleading, or defamatory information through forms, listings, or applications;
  • Resell, redistribute, or reverse-engineer the Service.

4. Accounts and information

You are responsible for maintaining the confidentiality of any credentials you use to access the Service and for any activity under your account. You must provide accurate information and keep it current.

5. Payments, subscriptions, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing frequency, taxes, cancellations, and refund mechanics are governed by Paddle's Checkout / Buyer Terms and Paddle's Refund Policy. Our own Refund Policy provides additional detail. Subscriptions renew for the term shown at checkout (typically twelve months for venue partner tiers) until cancelled in accordance with those policies.

6. Intellectual property

The Service, including all editorial content, software, design, branding, and data compilations, is owned by Otiummedia.com or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose. No other rights are granted.

7. User submissions

When you submit information through the Service (for example a venue application, curator application, or lead form), you grant us a non-exclusive, worldwide, royalty-free licence to host, store, and process that information solely to operate the Service and follow up on your request. Editorial coverage, feature slots, and any content created by our team remain at the sole discretion of the DiscoverCDMX editorial team and are never guaranteed.

8. Service level and disclaimers

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any information (including AI-assisted answers and visibility scores) will be accurate or complete. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us (through Paddle) in the twelve months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (for example fraud or personal injury caused by negligence).

10. Indemnity

You agree to indemnify and hold Otium Media harmless from claims arising out of your content, your use of the Service, or your violation of these Terms.

11. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, at any time for: (a) material breach of these Terms; (b) non-payment of amounts due; (c) suspected fraud, security risk, or harm to other users; or (d) repeated or serious policy violations. On termination, sections that by their nature survive termination will continue to apply.

12. Changes to the Service and these Terms

We may modify the Service or these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws applicable to Otiummedia.com's principal place of business, without regard to conflict-of-laws rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute arising from these Terms or the Service, except where mandatory local consumer law provides otherwise.

14. Miscellaneous

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. Neither party is liable for failure to perform due to events beyond reasonable control.
